Terms of Service

The terms that govern the work.

Last updated October 20, 2026. Opsyl is an operating venture of Atlanor Holdings L.L.C. Questions: [email protected]

Prices for the services are published on the pricing page.

1. Acceptance of Terms

By accessing opsyl.io or engaging Opsyl for services, you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. These Terms apply alongside any separate signed engagement agreement; if the two conflict on a specific point, the signed agreement controls.

2. The Services

Opsyl deploys and operates agentic infrastructure: deterministic workflows that move work from manual, human-dependent processes onto machine-speed, validated pipelines. Services may include workflow deployment, guardrails and validation, and telemetry and monitoring. The precise scope of any engagement is defined in a written scope document — not by marketing material on this site.

3. Client Obligations

  • Provide accurate, complete, and current information.
  • Maintain the confidentiality of any credentials we issue to you.
  • Provide the access, data, and inputs reasonably required for us to perform the services.
  • Ensure you hold the rights to any data or content you provide.
  • Use the services in compliance with applicable law.

4. Fees and Payment

Engagements are scoped before any work begins. We provide a one-page scope and cost summary before anything runs — nothing is deployed and no charges accrue until you approve that scope in writing. Fees are billed as set out in the scope document, and invoices are due on the terms stated there. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. All fees are exclusive of applicable taxes, which you are responsible for unless the scope states otherwise.

5. Intellectual Property

  • Client data: you retain all rights in the data, content, and materials you provide to us.
  • Opsyl IP: we retain all rights in our platform, tooling, workflows, methodologies, and any improvements developed in the course of providing services — including learnings derived from aggregated, anonymized usage that does not identify you.
  • Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the deliverables identified in your scope document for your internal business purposes.

6. Confidentiality

Each party may receive information that the other designates as confidential or that a reasonable person would understand to be confidential. The receiving party will use that information only to perform or receive the services, protect it with at least the care it applies to its own confidential information, and disclose it only to personnel, contractors, and professional advisers who need it and are bound by confidentiality obligations at least as protective as these Terms. These obligations do not apply to information that is or becomes public without breach, was already lawfully known to the receiving party, is independently developed without use of the disclosed information, or must be disclosed by law or court order — in which case the receiving party will give prompt notice where lawful. These obligations survive termination for three (3) years; trade secrets remain protected for as long as they qualify as trade secrets.

7. Data Protection

Where we process personal data on your behalf, you act as the controller and we act as the processor. That processing is governed by a data processing agreement, which we provide on request and which takes precedence over these Terms for that processing. We process personal data only on documented instructions, engage sub-processors only as permitted in that agreement, and notify you without undue delay of any personal data breach affecting your data. Personal data we control ourselves, such as website and account data, is handled as described in our privacy notice.

8. Service Levels; No Warranty

The performance figures shown on this site — including ≥99.9% uptime, ≥100,000 tasks processed per 24 hours, median latency under 400ms, and an error rate below 0.5% — are engineering targets, not contractual commitments. They describe what our systems are designed to reach on the validated path, and we aim to meet them, but they are provided best-effort only. Unless a signed engagement agreement expressly states otherwise, the services are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. No service-level agreement (SLA) applies unless one is agreed in a signed contract.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall Opsyl (including Atlanor Holdings L.L.C. and its affiliates, officers, directors, employees, and agents) be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, whether in contract, tort, or otherwise, arising out of or related to these Terms or the services. Our total aggregate liability for all claims arising out of or related to these Terms or the services shall not exceed the amounts actually paid by you to Opsyl in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars ($100) if no such amounts were paid. These limitations apply even if we have been advised of the possibility of such damages.

10. AI-Generated Content Disclaimer

Some outputs produced by our systems are generated by artificial intelligence. Those outputs are decision-support drafts, not final determinations. You are responsible for independently reviewing and verifying any AI-generated output before relying on it, and for any decision or action taken based on it. Nothing produced by our systems constitutes legal, financial, tax, accounting, or other professional advice; have such matters reviewed by qualified human professionals.

11. Termination

Either party may terminate an engagement by written notice as provided in the scope document. We may suspend or terminate access to the site or services immediately if you materially breach these Terms and fail to cure within a reasonable period, or if required by law. Upon termination, your obligation to pay fees for work performed through the effective date of termination survives, as do the provisions of these Terms that by their nature should survive.

12. Force Majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural events, war, civil unrest, labour disputes, governmental action, failure of public networks or utilities, and failures of third-party infrastructure providers that could not have been avoided with reasonable care. The affected party will notify the other party promptly and use reasonable efforts to resume performance. If such an event continues for more than thirty (30) days, either party may terminate the affected engagement on written notice without liability, except for fees for work performed up to the effective date.

13. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. The parties will attempt in good faith to resolve any dispute informally before commencing formal proceedings. Any legal action arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Wyoming, and the parties consent to their jurisdiction.

14. Changes to these Terms

We may update these Terms. When we do, we will revise the date at the top of this page. Material changes apply to new orders; the terms in effect when you placed an order govern that order.

15. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. These Terms, together with the offer and any signed annex, are the entire agreement between us on this subject and replace prior discussions.

16. Promotional Offers

Promotional offers, including the Founders Program published on our pricing page, are limited, time-bound, and subject to the conditions stated where they are published. A promotion does not change the scope, the fees beyond its stated reduction, or the terms of an order unless we confirm it in writing.
